Terms of Service

Pre-launch template · attorney review required. These Terms have been drafted to address the principal legal exposures of selling research-use chemicals to U.S. customers under Texas law, but they are not legal advice. Before publishing, have a Texas-licensed attorney review every clause · especially the research-use representations (§2–4), the FDA disclaimer (5), the arbitration / class-action waiver (22), and the limitation of liability (19).

1. Agreement to these Terms

These Terms of Service (the "Terms") form a binding contract between you ("you", "Customer", "Buyer") and Chronopeptide ("Chronopeptide", "we", "us", "our"). By accessing chronopeptide.com (the "Site"), creating an account, or placing an order, you accept these Terms in full. If you do not accept them, you must not use the Site.

2. Eligibility

You may only create an account and purchase Products if all of the following are true:

  • You are at least twenty-one (21) years of age;
  • You are a U.S. resident with a valid U.S. shipping address;
  • You are acquiring Products solely for bona fide in-vitro laboratory research, analytical, or reference-standard use;
  • You have the legal capacity to enter into this contract; and
  • You are not on any U.S. denied-persons, specially-designated-nationals, or export-restricted list.

We may, at any time and at our sole discretion, require additional verification of your identity, age, institutional affiliation, or research purpose, and may refuse, suspend, or terminate any account that misrepresents these matters or that we reasonably suspect of unlawful use.

3. Research-Use Representation

By placing an order you expressly represent, warrant, and certify that:

  • The Products will be used exclusively for in-vitro laboratory research, analytical-method development, reference-standard calibration, or other scientifically valid investigational purposes;
  • The Products will not be administered to humans or animals, applied to the body, ingested, inhaled, injected, or used in any clinical, diagnostic, therapeutic, cosmetic, or food-related application;
  • You will handle, store, and dispose of the Products in compliance with all applicable federal, state, and local laws and with generally accepted laboratory safety practices; and
  • You will not re-sell, re-label, repackage, or distribute the Products to any third party except in the ordinary course of qualified laboratory or institutional research.

You acknowledge that the foregoing representations are material to Chronopeptide's willingness to sell to you and that any breach voids the sale and may give rise to indemnification under 20.

4. Products

The compounds listed on the Site (the "Products") are sold as research chemicals. They are not drugs, biologics, medical devices, dietary supplements, cosmetics, or foods, and we make no claim, representation, or warranty regarding their safety, efficacy, biological activity, or fitness for any use other than in-vitro laboratory research. Product names, molecular weights, peptide sequences, CAS numbers, and Certificates of Analysis ("COA") are provided for laboratory identification only.

5. No FDA Approval; No Medical Claims

The Products have not been evaluated or approved by the U.S. Food and Drug Administration ("FDA"). They are not approved drugs under the Federal Food, Drug, and Cosmetic Act (21 U.S.C. 301 et seq.), and we are not a pharmacy, pharmaceutical manufacturer, supplement manufacturer, or licensed distributor of drugs. Chronopeptide does not provide medical advice, diagnosis, treatment, or recommendations. Nothing on the Site, in any product description, COA, article, or communication is intended to diagnose, treat, cure, or prevent any disease or medical condition. Any third-party content referencing biological mechanism or activity is provided strictly for scientific reference and does not constitute a claim by us.

6. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@chronopeptide.com of any unauthorized use. We may close, suspend, or restrict any account that violates these Terms, that we believe has been compromised, or that we are required to close by law.

7. Pricing, Availability, and Order Acceptance

All prices are quoted in U.S. dollars (USD) and are subject to change without notice. The Site is a request for offers; an order placed by you is an offer to buy. No contract is formed until we both (a) charge or confirm settlement of your payment and (b) ship the Products. We may refuse, limit, cancel, or terminate any order at any time before shipment, including for suspected misuse, pricing error, regulatory concern, or stock unavailability. If we cancel a paid order before shipment we will refund the payment (subject to the crypto-irreversibility caveat in 9).

8. Sales Tax

Chronopeptide collects and remits Texas state and local sales tax on taxable transactions delivered to Texas addresses, and collects sales, use, or similar transaction taxes in other U.S. jurisdictions as required by applicable economic-nexus or marketplace-facilitator laws. Tax is calculated at checkout based on your shipping address and the applicable tax rate at the time of order. You are responsible for any use tax, customs, or similar charges that are not collected by us.

9. Payment

We accept (a) credit and debit card payments processed through a PCI-compliant merchant gateway and (b) cryptocurrency payments processed through a non-custodial on-chain gateway. You acknowledge that on-chain cryptocurrency payments are technically irreversible once confirmed. If you overpay, underpay, send the wrong asset, or send to the wrong address, we will work in good faith to resolve the transaction but cannot guarantee recovery. By choosing a crypto payment method you assume the risk of price volatility between the time the invoice is generated and the time the payment confirms. Chargebacks initiated in bad faith on card transactions will be disputed and may result in account termination.

10. Shipping, Title, and Risk of Loss

We ship within the United States only. Orders are shipped F.O.B. our fulfillment facility; title and risk of loss pass to you when the carrier takes possession. We use insulated, temperature-controlled packaging for compounds requiring cold-chain handling. If a shipment is visibly damaged on arrival you must (i) photograph the parcel before opening, (ii) refuse delivery or note damage on the carrier's manifest, and (iii) notify us within forty-eight (48) hours at orders@chronopeptide.com so we can file an insurance claim.

11. Export Controls and Restricted Persons

Certain Products may be subject to U.S. Export Administration Regulations (15 C.F.R. Parts 730–774) and related sanctions. You may not export, re-export, or transfer any Product, directly or indirectly, to (a) any country or region subject to comprehensive U.S. sanctions, (b) any party listed on the U.S. Treasury OFAC SDN list, U.S. Commerce Entity List, or U.S. State Department Debarred List, or (c) any end-use prohibited by U.S. law (including weapons of mass destruction, missile, or nuclear end-uses).

12. Returns and Refunds

Because research peptides are temperature- and lot-sensitive and cannot be re-introduced into inventory once they have left our cold-chain custody, all sales are final upon shipment. We will, at our cost, replace or refund any Product that:

  • Fails an independent identity or purity re-test against the advertised COA specification, on samples drawn from sealed, unopened original packaging; or
  • Is damaged in transit, where carrier damage is documented per 10.

Refund requests must be submitted within thirty (30) days of delivery and must include the lot number, order number, and supporting documentation. Refunds are processed to the original payment method where technically feasible; on-chain crypto refunds are sent to the originating wallet address.

13. Acceptable Use of the Site

You agree not to: (a) use the Site for any purpose that is unlawful under federal, state, or local law; (b) attempt to gain unauthorized access to any portion of the Site, user account, server, or related infrastructure; (c) interfere with, disrupt, or place an unreasonable load on the Site, including through automated scraping, denial-of- service, or credential-stuffing techniques; (d) reverse-engineer, decompile, or copy any non-public portion of the Site or its software; (e) submit false, misleading, or stolen personal or payment information; (f) post content that is defamatory, obscene, or that infringes any third party's intellectual property; or (g) use the Site or any Product in any way that could expose Chronopeptide to regulatory, civil, or criminal liability.

14. Intellectual Property

The Site, its content (excluding user-submitted content), the Chronopeptide name and logo, product photography, COA layouts, and compiled data tables are owned by Chronopeptide or our licensors and are protected by U.S. and international copyright, trademark, and trade-secret law. Subject to your compliance with these Terms we grant you a limited, non-exclusive, non-transferable, revocable license to access the Site and to download and print COAs and order documents for your own research recordkeeping. All other rights are reserved.

15. User Content

If you submit reviews, questions, support tickets, or other content to us or through the Site, you (a) represent that the submission is your original work and does not infringe any third party's rights, (b) grant us a worldwide, royalty-free, sublicensable, perpetual license to use, reproduce, display, and create derivative works of the submission in connection with operating, marketing, and improving the Site, and (c) waive any moral rights you may have in the submission to the maximum extent permitted by law. We may, but are not obligated to, moderate, edit, or remove user content at any time.

16. Privacy

Our handling of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Electronic Communications

By creating an account or placing an order you consent to receive communications from us electronically · including order confirmations, shipping notifications, account notices, and other transactional messages · at the email address you provide. You agree that electronic notices, agreements, and disclosures satisfy any legal requirement that such communications be in writing.

18. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND THE PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. CHRONOPEPTIDE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE PRODUCTS WILL ACHIEVE ANY PARTICULAR RESULT IN YOUR LABORATORY.

Some U.S. states do not allow the exclusion of certain implied warranties, so portions of this disclaimer may not apply to you.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CHRONOPEPTIDE, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CHRONOPEPTIDE FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE NINETY (90) DAYS PRECEDING THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you to that extent.

20. Indemnification

You agree to defend, indemnify, and hold harmless Chronopeptide and its affiliates, officers, directors, employees, contractors, and suppliers from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your breach of these Terms, including any misrepresentation of the research-use representations in §2–3; (b) your use, handling, storage, transfer, or disposal of any Product; (c) any administration of a Product to a human or animal; (d) any violation by you of applicable law or any third party's rights; or (e) any content you submit to the Site.

21. Termination

We may suspend or terminate your access to the Site, your account, or any pending order, at any time, with or without notice, for any reason · including suspected violation of these Terms, suspected misuse of the Products, or for regulatory, legal, or risk-management reasons. Sections that by their nature should survive termination (including §3, 5, 14, 18–22) will survive.

22. Governing Law; Arbitration; Class-Action Waiver

Governing law. These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal dispute resolution. Before initiating any formal proceeding you agree to first contact us at legal@chronopeptide.com with a written description of the dispute, and to negotiate in good faith for at least sixty (60) days.

Binding arbitration. If the dispute is not resolved informally, you and Chronopeptide agree that any controversy or claim arising out of or relating to these Terms, the Site, or any Product will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be held in Harris County, Texas, or, at your election, by remote videoconference, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Chronopeptide each agree that any dispute will be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual action in small-claims court in Harris County, Texas, for any qualifying claim, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property.

Opt-out. You may opt out of the arbitration and class-action-waiver provisions of this 22 by sending written notice to legal@chronopeptide.com within thirty (30) days of first accepting these Terms. The opt-out must include your full name, account email, and a clear statement that you wish to opt out of arbitration.

23. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil disturbance, fire, flood, pandemic, government action, embargo, carrier failure, supplier failure, internet or infrastructure outage, or other force-majeure event.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.

25. Assignment

You may not assign or transfer these Terms or any of your rights under them without our prior written consent; any attempted assignment without consent is void. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

26. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the current version became effective. Material changes will be highlighted on the Site for thirty (30) days. Your continued use of the Site or placement of new orders after the effective date constitutes acceptance of the updated Terms.

27. Entire Agreement

These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and Chronopeptide regarding the Site and the Products, and supersede all prior or contemporaneous agreements, communications, and proposals on the same subject.
